FAQs
SB Energy, Inc. ("SB Energy") announced that it has publicly filed a registration statement on Form S-1 with the US Securities and Exchange Commission (“SEC”) relating to the proposed initial public offering of its common stock. SB Energy has applied to list its common stock on the Nasdaq Global Select Market and Nasdaq Texas under the ticker symbol “SBE".
The number of shares to be offered and the price range for the proposed offering have not yet been determined. As part of the proposed offering, SB Energy is also proposing to undertake a public offer of shares to retail investors who are tax resident and located in the United Kingdom, via a public offer platform operated by Marex Financial in accordance with the rules of the UK Financial Conduct Authority.
The proposed offering is subject to market and other conditions, including effectiveness of such registration statement, and there can be no assurance as to whether or when the offering may be commenced or completed.
More information is expected to be made available if the 'offer period' begins. At that stage, further documents are expected to be published, including the Price Range Prospectus, UK Disclosure Summary, Launch Announcement and Retail Fact Sheet.
You can register for updates through CMC Invest to be notified when further information becomes available.
Applications are not currently open. During the UK 'marketing period', you can register for updates and prepare by opening a CMC Invest account, but applications cannot be accepted until the offer period begins.
If the offer period opens, eligible retail investors will be able to apply through a participating intermediary, such as CMC Invest, subject to the final offer terms and application process.
The Retail Offer is only open to individuals who are both located and tax resident in the UK.
Investors must also confirm the required application declarations at the point of application, including that they are tax resident and located in the UK, not physically present in the United States or another jurisdiction outside the UK, and that the application is their only application in the company’s share offer.
Yes, CMC Markets Investments Limited (registration number 948126) is fully authorised and regulated by the Financial Conduct Authority (FCA) in the UK. Retail client money is held in segregated client bank accounts, and money held on behalf of clients is distributed across a range of major banks, which are regularly assessed against our risk criteria.
Under the FCA's client money rules, we're required to segregate client money from our own funds (unless you agree with us otherwise). The money held in segregated bank accounts does not belong to us and will be held in a way that enables it to be identified as client money. Learn more about client money regulations.
In the UK, if you have a Stocks & Shares ISA or Self-invested Personal Pension (SIPP), you don’t need to pay capital gains tax on any profits you make from selling investments, or dividend tax on income you receive from companies.
Any profits and dividend income you make through a General Investment Account is taxable. This will be shown in your ‘consolidated tax certificate’, which you'll receive from us following the end of each tax year.
Tax treatment depends on your individual circumstances and may be subject to change in the future.
